Terms of Service

These Terms of Service (“Terms”) form a binding agreement between Eequate (“we”, “us”, “our”), the operator of the Niti travel agency platform (the “Service”), and the travel agency or individual subscribing to the Service (“you”, “your”, the “Customer”). By creating an account or using the Service you confirm that you have read, understood and accepted these Terms.

1. Eligibility & account

You must be at least 18 years old and legally able to enter binding contracts. The individual creating the account becomes the workspace owner and is responsible for all activity under that workspace, including invited team members.

You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your password and for any activity under your credentials.

2. Free trial & promo codes

New accounts include a free trial. The default trial length is 14 days; promotional codes (such as exhibition or referral codes) may extend this trial. The applicable trial length is shown at sign-up and on the account’s billing page.

No payment method is required to start the trial. At the end of the trial the account is downgraded to a read-only state until a paid plan is selected. Data is retained per the Privacy Policy retention schedule.

3. Subscriptions & billing

Paid plans are billed in advance, monthly or annually, in the currency stated at checkout. Plan limits (active inquiries per cycle, team-member seats, supplier records) are listed on the pricing page and reset at the start of each billing cycle.

Plans renew automatically until cancelled. Cancellation takes effect at the end of the current billing period and you retain access through that date. Refunds are not issued for partial months.

4. Acceptable use

You agree not to use the Service to violate applicable law, transmit unsolicited bulk communications, infringe intellectual property rights, upload malware, attempt to compromise platform security, reverse-engineer the Service, resell access without our written consent, or impersonate any person or entity.

You will not use the Service to process the personal data of individuals located in jurisdictions where you are not legally permitted to do so under applicable data-protection law.

5. Customer data

You retain all rights to the data you upload into the platform (the “Customer Data”). You grant us a limited, non-exclusive licence to host, process, transmit, display, and back up the Customer Data solely to operate the Service for you.

You are solely responsible for the lawful collection of any personal data you upload, including obtaining the necessary consents from your own clients and travellers, and for honouring data-subject rights requests they make to you.

6. Intellectual property

The Niti platform, the Niti name, the Niti wordmark, the user interface, and all underlying software remain the exclusive property of Eequate. Nothing in these Terms transfers ownership of any intellectual property to you.

7. Service availability

We aim for high availability but do not guarantee uninterrupted Service. Scheduled maintenance is announced in advance where possible. We reserve the right to suspend the Service for emergency maintenance, security incidents, or to protect the integrity of the platform.

8. Disclaimers & limitation of liability

The Service is provided “as is” without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that the Service will be error-free, secure, or meet any specific business requirement.

To the fullest extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service shall not exceed the fees you paid us in the 12 months immediately preceding the event giving rise to the claim. We will not be liable for any indirect, incidental, consequential, or punitive damages.

9. Termination

You may cancel your subscription at any time from the billing page. We may suspend or terminate accounts that breach these Terms, with or without notice depending on the severity. On termination your right to access the Service ends; data retention is governed by the Privacy Policy.

10. Changes to the Terms

We may update these Terms from time to time. Material changes will be communicated to active account holders by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

11. Governing law

These Terms are governed by the laws of Sri Lanka. Any dispute arising out of or relating to these Terms or the Service is subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka.
